Terms of Service

These Terms of Service ("Terms") govern your access to and use of Koinia, including our apps, websites, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1) Important safety note (not therapy; not emergency services)

The Service provides educational and informational coaching support and may produce AI-generated content. The Service is not medical advice, mental health therapy, diagnosis, or treatment, and it is not a substitute for licensed professional care.

Do not use the Service for emergencies. If you think you or someone else may be in immediate danger, call your local emergency number right away.

2) Eligibility

You must be at least the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3) Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or suspected security incident.

4) Your content

The Service may allow you to submit content such as messages, conversation history, contact names, and other information ("User Content"). You retain ownership of your User Content.

You grant Koinia a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely to provide, maintain, and improve the Service, to comply with law, and to enforce these Terms.

You represent that you have the rights necessary to provide User Content to the Service and that your User Content does not violate any laws or third-party rights.

5) Acceptable use

You agree not to:

  • Use the Service to break the law or to harm others.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Upload malware, interfere with operation, or circumvent security features.
  • Reverse engineer, copy, or scrape the Service except as permitted by law.
  • Use the Service to generate or distribute content that is abusive or exploitative.

6) AI outputs and limitations

The Service may provide suggestions, drafts, summaries, or other outputs generated by artificial intelligence ("AI Output"). AI Output may be inaccurate, incomplete, or inappropriate for your specific circumstances. You are responsible for how you use AI Output.

You should independently evaluate any guidance before acting on it, especially in situations involving safety, health, legal rights, or major decisions.

7) Payments (if applicable)

If the Service includes paid features, you agree to pay the applicable fees and taxes. Additional payment terms may be presented at purchase.

8) Intellectual property

The Service, including software, designs, and content (excluding User Content), is owned by Koinia and its licensors and is protected by intellectual property laws. You may use the Service only as permitted by these Terms.

9) Third-party services

The Service may integrate with third-party services (for example, authentication providers, notification services, or AI model providers). Your use of third-party services may be governed by their terms and policies.

10) Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, pose a security risk, or if required by law.

11) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOINIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOINIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

13) Indemnity

You agree to defend, indemnify, and hold harmless Koinia from and against claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.

14) Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice (for example, by posting updated Terms with a new “Last updated” date). Your continued use of the Service after changes become effective means you accept the updated Terms.
